Corporate Contracts Paralegal - Hybrid

Beacon Hill Legal is searching for a Corporate Contracts Paralegal role for a private equity firm based in Midtown Manhattan. This is a hybrid role with an all-in salary ranging up to $150,000.

This person must have experience with drafting, redlining, and negotiating NDAs.

Responsibilities:

• Managing the preparation, distribution, execution, and organization of legal documents related to platform transactions, M&A, financing, and equity grants
• Assisting with the review and negotiation of confidentiality agreements
• Organizing legal documents and maintaining charts, spreadsheets, files, and status trackers for the legal team
• Forming legal entities and assisting with updates to capitalization tables, equity plans, and option plans for portfolio companies
• Supporting portfolio companies' board matters, including authorization policies and written consents for Board of Directors and Committees
• Maintaining corporate good standing and facilitating entity dissolutions as needed
• Managing director and officer lists for portfolio companies and assisting with corporate actions when necessary
• Assisting in compliance matters such as conflict checks and record maintenance in coordination with the Chief Compliance Officer

Qualifications:

• 3+ years experience as a Corporate Paralegal or Contracts Paralegal
• Must have experience with drafting, negotiating, and redlining NDAs
